Terms and Conditions

Translation for convenience. The German version of these Terms is the binding one; in case of any discrepancy, the German text prevails.

§ 1

Scope and contracting parties

These Terms and Conditions govern all contracts for video editing and post-production services between Caseus Studio, proprietor Roman Kulikov, Matthias-Grünewald-Str. 6, 06124 Halle (Saale), Germany (the “Studio”) and the client.

The Studio contracts exclusively with businesses within the meaning of § 14 German Civil Code (BGB) and with public-law entities. No contract is concluded with consumers within the meaning of § 13 BGB, and no statutory consumer right of withdrawal applies.

The client’s own terms do not become part of the contract, even where they are not expressly rejected. Where a brief supplied by the client contains different conditions — on deadlines, payment terms or scope — they apply only if the Studio agrees to them expressly and in text form.

§ 2

Formation of contract

The scope of work is established together in the briefing conversation on this website. Amounts named there are indicative and do not constitute a binding offer.

On the basis of the agreed brief, the Studio issues a written quote. That quote is the only document that governs scope and price. It is valid for 14 days from issue unless it states otherwise.

The contract is formed when the client accepts the quote in the client portal. Statements made by the AI assistant during the briefing create neither a contract nor a warranty.

§ 3

Scope of work and changes

The Studio owes only the scope described in the accepted quote. Anything not listed there — in particular paid options from the service catalogue — is not owed.

The number of revision rounds stated in the quote is exhaustive. Further changes, and any change of scope after the contract is formed, are quoted separately and require a new quote. A change of scope invalidates any quote issued beforehand.

§ 4

The client’s contribution

The Studio stores none of the client’s source material. Footage, brand assets and references remain in the client’s own storage and are made available through a share link that must be openable by anyone holding it.

The client warrants that it holds all rights in the material supplied, including rights in footage, audio, music, trade marks and the likeness of any person depicted, and indemnifies the Studio against third-party claims arising from a breach of that warranty.

Delays caused by missing, incomplete or unreachable material, or by outstanding feedback, extend delivery times accordingly.

§ 5

Delivery time

The Studio delivers each individual finished video within 10 working days. The period starts once the deposit has been received and the complete source material is reachable.

Where an order covers several videos, they are produced one after another; the period applies per video and not to the order as a whole. Priority production is available as a paid option.

Calendar delivery dates are binding only where the quote expressly says so.

§ 6

Prices and payment

The prices stated in the quote apply. Short-form work is billed per started 15-second unit, long-form per started minute. Volume discounts arise solely from the tiers shown in the quote.

The Studio does not show VAT, applying the small-business rule under § 19 German VAT Act (UStG).

A deposit in the amount stated in the quote is due before production starts; the balance falls due on acceptance of the final cut. Payment is processed by Stripe.

Until payment has been received in full, only a watermarked version is made available.

§ 7

Acceptance

The final cut is made available for acceptance in the client portal. The client reviews it without undue delay and either accepts it or states specific defects in text form.

If neither acceptance nor a notice of defects is given within 14 days of it being made available, the work is deemed accepted. Commercial use of the result also constitutes acceptance.

§ 8

Rights of use

On payment in full, the Studio grants the client the non-exclusive right, unlimited in territory, time and content, to use the videos for its own business purposes. No rights of use are granted before payment in full.

Project files (edit projects, timelines, working files) are not part of the contract and are handed over only where the quote lists this as a paid option.

The Studio may show the videos as a reference in its own portfolio and channels. The client may object to this at any time in text form.

§ 9

Liability

The Studio is liable without limitation for intent and gross negligence, and for damage arising from injury to life, body or health.

In cases of ordinary negligence the Studio is liable only for breach of a material contractual obligation — one whose fulfilment makes proper performance of the contract possible in the first place and on whose observance the client may regularly rely — and in that case only for foreseeable damage typical of this type of contract.

Any further liability is excluded. Liability under the German Product Liability Act remains unaffected.

The client is responsible for backing up its own source material; the Studio owes no archiving.

§ 10

AI-assisted briefing

The briefing is supported by an AI assistant. Prices, deadlines and descriptions given in the conversation are indicative. Only the written quote and these Terms are authoritative.

Which data is processed in the course of this, and which service providers are involved, is described in the Privacy Policy.

§ 11

Final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

The exclusive place of jurisdiction for all disputes arising from this contractual relationship is Halle (Saale), Germany, where the client is a merchant, a legal entity under public law or a public-law special fund.

Amendments and additions require text form. Should any provision of these Terms be or become invalid, the validity of the remaining provisions is unaffected.
